Does the HSLU agree to remove chapter 22. Penalties from the AGB IKT as it poses unreasonably high risk to the supplier and the HSLU has the right to terminate the contract already in case of a breach or underperformance of the contract thus being able to seize payment to the supplier?
The HSLU takes note of the request. This is a standard clause for IKT-purchasing. However, Chapter 22 (Penalties) of the AGB IKT is part of the contractual basis of this tender and is therefore maintained. The penalties serve as an instrument to support contractual performance and are separate from the HSLU’s rights in case of breach or underperformance. Before any penalities are applied HSLU gets in contact with the supplier in order to find a solution.
| 19.12.2025 |
In the AGB IKT chapter 17: Audit Rights mentiones the right to perform audits at any time. As audits take up a lot of time and effort from the side of the supplier and pose a risk to normal business activities, the frequency of audits (next to the yearly ISO audits that are standard practise) should be limited to reasonable measures. Does the HSLU agree that this right should only be exercised following a reasonable suspicion and at a maximum frequency of once every 6 months?
The HSLU acknowledges and understands the supplier’s concern. Clause 17 (Audit Rights) remains part of the contractual basis of this tender. The HSLU intends to exercise audit rights in a reasonable and proportionate manner and, where practicable, to coordinate the scope and timing with the supplier in advance so that normal day-to-day operations are affected as little as possible. However, the HSLU does not foresee restricting the audit right to specific triggers (e.g., reasonable suspicion) or to a fixed maximum frequency (e.g., once every six months).
| 19.12.2025 |
Does the HSLU agree that clause 23.1, 23.2, 27.3, 27.4, 29 and 30 of the AGB IKT do not apply to the delivery of a cloud hosted SaaS solution?
No. The referenced clauses also apply to the delivery of a cloud-hosted SaaS solution. Where individual provisions are based on a classical on-premise delivery model, they apply only to the extent they are compatible with a cloud-based SaaS solution.
| 19.12.2025 |

| 19.12.2025 |
In document 01 Ausschreibungsbedingungen Beschaffung Prüfungssoftware the contract duration is mentioned of Four (4) years, extendable by one (1) year (maximum five years). Does this mean that after the initial 4 years, the contract can be extended by one year 5 times to bring the total contract duration to a maximum of 9 years?
No. The contract duration is four (4) years and may be extended once by one (1) additional year, resulting in a maximum total contract duration of five (5) years. Any decision on a possible extension will be made by the HSLU before expiry of the initial term, at its sole discretion, based on the course of the contract and the technical possibilities at that time.five (5) years.

These rates are for information and comparability purposes and do not constitute a commitment to order such services.
| 19.12.2025 |

If additional modules are required to fulfil the tender requirements, they must be listed and priced accordingly. The pricing sheet must be completed in such a way that the total TCO over five (5) years is clearly visible.
| 19.12.2025 |
Are we required to fill in either the price per year, user, exam or all three options in the pricing sheet?
The pricing sheet is structured to accommodate different pricing models. Bidders are required to complete all cost items that are applicable to their proposed pricing model. | 19.12.2025 |
Does the HSLU have a preference for a pricing structure (e.g. pay per exam, per user or flat fee)?
No. The HSLU does not have a preferred pricing structure. Bidders are free to propose a pricing model (e.g. per exam, per user, flat fee) that best fits their solution. The pricing must be presented transparently in the pricing sheet and allow a clear calculation and comparison of the total TCO over five (5) years.
| 19.12.2025 |
Can we assume that the licenses required for this project, as filled in in the pricing sheet, would include the mentioned numbers for Examination participants (students), Examination owners (teaching staff), Examination administrators and System administrators for a total of approximately 11,185 accounts?
The user numbers stated in the tender documents for the different user groups are indicative and form the basis for the price calculation. The licenses priced in the pricing sheet are expected to cover these user groups and quantities according to the bidder’s proposed licensing model.

The HSLU takes note of the request. The restriction in Clause 3.1 of the Tender Conditions refers to subcontractors engaged to perform substantial contractual obligations on behalf of the provider. It does not generally exclude the use of suppliers that act as subprocessors within the meaning of data protection law (e.g. GDPR), provided that such subprocessors are used solely to support the SaaS service (e.g. hosting, infrastructure, support services), are disclosed where required, and comply with the applicable data protection and contractual requirements.

Regarding Clause 23.2 of the General Terms and Conditions for ICT Services, which refers to continued maintenance and servicing of 'delivered hardware and software,' we would appreciate your guidance. As we are proposing a Software as a Service (SaaS) solution, we would be grateful if you could clarify how the requirements of this clause are intended to apply to an on-demand cloud-based service.
The HSLU takes note of the request. Clause 23.2 of the AGB IKT also applies to a SaaS delivery model. In the context of a SaaS solution, references to “delivered hardware and software” are to be understood as the SaaS service components operated by the supplier. The obligation of continued maintenance and servicing refers to the ongoing operation, maintenance and support of the SaaS service for the duration of the contract.
| 19.12.2025 |
Clause 22.2 & 22.3 of the General Terms and Conditions for ICT Services, we kindly request clarification on two points:
The HSLU takes note of the request. The percentage of 10% (not 106 %) stated in Clauses 22.2 and 22.3 of the AGB IKT is intentional and correct and does not constitute a typographical or translation error. The AGB IKT are standard terms used for ICT procurements and have not been amended for this tender. Regarding the term “permanent contract”, it refers to a continuing contractual relationship (Dauerschuldverhältnis) and, in this context, to a situation in which the contractual relationship is permanently impaired due to a serious breach. The application of these clauses is subject to the conditions set out in the AGB IKT and Swiss law.
| 19.12.2025 |
In relation to Clause 20.4, we interpret this clause to be tailored to hardware defects, as it mentioned replacement parts. How does HSLU expect defects/ warranties to apply to a SaaS product?
The HSLU takes note of the request. Clause 20.4 of the AGB IKT also applies to a SaaS delivery model. In the context of a SaaS solution, references to replacement or defective parts are to be understood as the remediation of defects in the SaaS service, including correction of errors, restoration of service, or provision of workarounds. Warranty obligations therefore relate to ensuring the contractual functionality and availability of the SaaS service, rather than to the replacement of physical components.

Clause 32.4 of General Terms and Conditions for ICT Services The service recipient is not obliged to accept every new software version. In this case, the provider is entitled to discontinue maintenance services for earlier software versions after a reasonable transition period. Unless otherwise agreed, this period shall be 12 months. As per our previous comments, this does not seem to be applicable to a SaaS product, necessary to make a clarification question regarding the applicability of this clause.
Correct. Clause 32.4 applies only to the extent it is compatible with a SaaS delivery model; the service recipient will use the current productive version provided by the supplier.

We request clarification regarding the intention and scope of the Intellectual Property provisions included in the tender documentation.

The HSLU takes note of the request. Clause 27 of the AGB IKT is intended to apply to deliverables and materials specifically created for HSLU under this contract. This includes, in particular, outputs and results generated for HSLU, data belonging to HSLU, and any contractually agreed, customer-specific documentation or deliverables. The supplier’s SaaS platform, software, tools, codebase, architectures, methodologies, know-how, as well as updates, upgrades, improvements and enhancements to the underlying SaaS service, remain the exclusive property of the supplier. HSLU’s rights are limited to the use of the SaaS solution and to the ownership or usage rights of the specific deliverables produced for HSLU under the Agreement, and do not extend to the supplier’s proprietary software or generalized developments.
